Dispute Resolution; Binding Arbitration
Agreement to Arbitrate
You and BANC3 agree that any dispute, claim, or controversy arising out of or relating to your access to or use of the website, services, content, or these Terms (collectively, “Disputes”) shall be resolved exclusively through final and binding arbitration, rather than in court, except that either party may bring an individual action in small claims court if the claim qualifies.
This arbitration agreement applies to all Disputes, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory.
Arbitration Procedure
The arbitration shall be administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules in effect at the time of filing.
The arbitration shall be conducted by a single neutral arbitrator.
The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement.
Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Class Action Waiver
You and BANC3 agree that any arbitration or proceeding shall be conducted on an individual basis only and not as a class, collective, consolidated, or representative action.
You waive any right to participate in a class action lawsuit or class-wide arbitration against BANC3.
The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of representative or class proceeding.
Jury Trial Waiver
To the extent any Dispute proceeds in court rather than arbitration, you and BANC3 knowingly and voluntarily waive any right to a trial by jury.
Governing Law
These Terms and any Dispute shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
Severability
If any provision of this arbitration agreement or these Terms is found to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.
If the Class Action Waiver is found unenforceable, the arbitration agreement shall be null and void solely as to that claim.
Right to Opt Out
You may opt out of this arbitration agreement by providing written notice within thirty (30) days of first accessing the website. To opt out, send written notice to legal@banc3.com including your name and a clear statement that you wish to opt out of arbitration.
